Cancel your California LLC before Dec 31 and stop next year's $800 tax

California charges the $800 annual LLC tax until the LLC is cancelled, even if it earns nothing. We prepare and file the cancellation for you.

This year's $800 is still owed. Cancelling stops the next one, not this one.

Is it inactive?

No payment now. We'll only email you about this service. See the privacy note below.

The tax doesn't stop on its own

A California LLC owes an $800 annual tax for every year it stays on the books. It doesn't matter if the business made nothing, did nothing, or stopped years ago. The charge continues until the LLC is formally cancelled.

The state's own page on LLCs is the source: California Franchise Tax Board, Limited Liability Company.

To stop next year's tax, you must also file your final return on time and stop doing business in California. The FTB covers the steps in Publication 1038, Guide to Dissolve, Surrender, or Cancel a California Business Entity, which you can find from its LLC page.

$800 / year for as long as the LLC stays open. This year's $800 is still owed either way.

How it works

  1. Answer a few questions

Basic details about your LLC and whether it's still doing anything. It takes a few minutes.

  2. We prepare the filing

We turn your answers into the cancellation filing and check it. You review and approve it before we file.

  3. We file it, you get the paperwork

We file the cancellation with the state on your behalf. You receive the filed certificate and a final-return checklist, so you know what's left to close out.

Questions

What does it cost?

The waitlist is free. The planned price is $149, one time. The state's cancellation filing itself is free, so what you'd pay us for is the preparation, filing it on your behalf, the final-return checklist and the deadline.

What happens after Dec 31?

Dec 31, 2026 is the date this service is built around, because California keeps charging the annual $800 tax until the LLC is cancelled. You can still cancel later, but that's the deadline we're aiming at for stopping next year's tax. How timing applies to your situation is a question for the Franchise Tax Board or a tax professional.

To stop next year's tax, you must also file your final return on time and stop doing business in California. The FTB covers the steps in Publication 1038, Guide to Dissolve, Surrender, or Cancel a California Business Entity, which you can find from its LLC page.

What if the filing is rejected?

If the filing is rejected because of an error on our side, we refund you.

The state filing is free. Why pay?

You don't have to. You can file it yourself. You'd pay us to ask the right questions, prepare the filing so it's right the first time, file it for you, hand you a checklist for the final return, and keep the deadline in front of you.

Do I still owe this year's $800?

Yes. This year's tax is still owed. Cancelling is about stopping next year's $800 from being charged, not erasing the one you already owe.
